DryIcons Free License Agreement
This is a legal agreement between you ("Licensee") and DryIcons.com ("Licensor", or "DryIcons"). This agreement applies to licenses issued via the World Wide Web and is applicable to online digital delivery of the Licensed Material.

1.Definitions
a."Licensed Material" or "Works" means any digital still image, graphic, icon, icon set or web template, visual representation generated optically, electronically, digitally or by any other means including copies, prints, digital files or reproductions thereof of the material. Any reference in this agreement to the Licensed Material shall be to each individual item within the Licensed Material and also to the Works taken as a whole;
b."You" means an individual or entity or the Organization on whose behalf you are undertaking the License exercising rights under this License who has not previously violated the terms of this License with respect of the Work, or who has received express permission from the Licensor to exercise rights under this License despite a previous violation;
c."Original Author" means, in the case of artistic work the publisher who created the Works- DryIcons.
2.Terms and Conditions
a.You may use the Licensed Material in a publicly accessible web site, web application or any form of presentation publicly accessible through the World Wide Web only according to the DryIcons Free License Terms and Conditions:
■You must put a back link with credits to http://dryicons.com on every page where DryIcons' Works are used (example: Icons by http://dryicons.com);
■You must include the correct back link to DryIcons website, which is: http://dryicons.com;
■You must place the link on an easy-to-see, recognizable place, so there is no confusion about the Original Author of the Works (DryIcons);
■When copying, or paraphrasing description text (or title) on one of the Licensed Material, you must make sure there are no spelling mistakes;
■Do not try to take credit or imply in any way that you and not DryIcons is the Original Author of the Licensed Material (icons, icon sets, graphics and web templates).
3.Grant of Rights
a.The Licensed Material is being provided to You under the Terms of this agreement, which allows for use of Licensed Material but does not transfer ownership. All Licensed Material remains property of DryIcons;
b.You may use the Licensed Material in any personal or commercial project unlimited number of times according to the DryIcons Free License Terms and Conditions;
c.You may use the Licensed Material in any Open Source project and application according to the DryIcons Free License Terms and Conditions;
d.Your rights to the Licensed Material are worldwide;
e.Any uses other than the ones mentioned above must be approved by DryIcons in writing;
f.Unauthorized use will result in immediate termination of this License, and with it, Your rights to use the Licensed Material.
4.Restrictions
a.You may not alter, crop, modify, manipulate and create derivative works of the Licensed Material. All Licensed Material must be used "AS is";
b.You may not redistribute, license, sell, lease, assign, convey or transfer Licensed Material, or offer free downloads in their present form or in a modified form to any third party;
c.You may not distribute the Licensed Material (icons, icon sets, graphics and web templates) online in a downloadable format or enable them to be distributed via mobile devices. You may link to http://dryicons.com instead;
d.You may not incorporate Licensed Material into a logo, trademark or service mark;
e.You may not use the Licensed Material directly from dryicons.com or any other location hosted on the dryicons.com domain or any other domains owned by DryIcons.
f.You may not use the Licensed Material for pornographic, unlawful or other immoral purposes, for spreading hate or discrimination, or to defame or victimize other people, societies, cultures.
5.Copyright
a.DryIcons.com reserves the copyrights and ownership rights of all Licensed Material downloaded from this website. We reserve the right to change parts of this License without notice and at our sole discretion.
6.Warranty and Limitation of Liability
a.DryIcons.com will not be held responsible for any outcome that may occur during the course of usage of our icons;
b.If we find anyone guilty of copying, modifying, stealing, reselling, distributing or leasing the Licensed Material, all DryIcons Licenses will automatically be cancelled and they will be liable to legal action.

This is a legal agreement between You or the Organization on whose behalf you are undertaking the License described below ("Licensee") and DryIcons.com ("DryIcons"). This agreement applies to licenses issued via the world wide web and is applicable to online, digital and analog (physical) delivery of Licensed Material.

1.Definitions
a."Licensed Material" means any digital still image, graphic, icon, icon set or web template, visual representation generated optically, electronically, digitally or by any other means including copies, prints, digital files or reproductions thereof of the material. Any reference in this Agreement to the Licensed Material shall be to each individual item within the Licensed Material and also to the Licensed Material taken as a whole.
2.Grant of Rights
a.The Licensed Material is not being sold; it is being provided to the Licensee under the terms of this agreement, which allows for use of Licensed Material but does not transfer ownership. Ownership remains with DryIcons;
b.This agreement does not allow for the use of Licensed Material in any Open Source project or application;
c.Licensee has the non-exclusive, non-transferable, non-sublicensable right to use the Licensed Material an unlimited number of times in any and all media for the following commercial or personal purposes (together the "Permitted Uses") subject to the restrictions set forth in the Agreement. Any uses other than the Permitted Uses must be approved by DryIcons in writing.
d.Permitted Uses include the following:
■Electronic publications including website design;
■User interface design and code based environments;
■Print publications and physical products;
■Advertising and promotional materials;
■Corporate identity documents, and letterhead (used as design elements);
■Broadcast and theatrical exhibitions;
■Video, film, or television broadcasts (used as design elements);
■To decorate your home, your office or any public place;
e.Licensee may alter, crop, manipulate and create derivative works of the Licensed Material;
f.Licensee's rights to the Licensed Material are worldwide;
g.Unauthorized use will results in immediate termination of this license, and with it, Licensee's rights to use the Licensed Material.
3.Restrictions
a.Licensee may not rent, sublicense, sell, assign, convey or transfer Licensed Material, this Agreement or any of its rights under this Agreement. Licensee may not include the Licensed Material in an electronic template intended to be Reproduced by third parties on electronic or printed products;
b.Licensee may not sell, license or distribute any derivative work based on the Licensed Material;
c.Licensed Material may not be incorporated into a logo, trademark or service mark;
d.Licensee may not post the Licensed Material online in a downloadable format or enable it to be distributed via mobile devices.
e.Licensee may not use Licensed Material in electronic items for resale, such as website templates, electronic devices (i.e. computer, iPhone, phones, etc.) software applications, document templates, wallpapers, screensavers, e-cards or similar products that Licensee intend to sell or distribute;
f.Licensee may not use Licensed Material on physical items for resale and "print on demand" items such as t-shirts, postcards, mouse pads, coffee mugs, calendars (e.g. on sites like Cafepress), or on any similar mass produced items that would contain the Licensed Material in a partly, or dominant way;
g.Licensee may not use the Licensed Material for pornographic, unlawful or other immoral purposes, for spreading hate or discrimination, or to defame or victimize other people, societies, cultures;
4.Copyright
a.No ownership or copyright in any Licensed Material shall pass to Licensee by the issuance of the license contained in this Agreement. Except as expressly stated in this Agreement, DryIcons grants to Licensee no right or license, express or implied, to the Licensed Material.
5.Termination & Revocation
a.The license contained in this Agreement will terminate automatically without notice from DryIcons if Licensee fails to comply with any provision of this Agreement. Upon termination, Licensee must immediately (i) stop using the Licensed Material; (ii) destroy the Licensed Material; and (iii) delete or remove the Licensed Material from Licensee's premises, computer systems and storage (electronic or physical) and promptly confirm same to DryIcons in writing;
b.DryIcons reserves the right to revoke the license to use the Licensed Material for good cause and elect to replace such Licensed Material with alternative Licensed Material. Upon notice of any revocation of such license, Licensee shall immediately cease using such Licensed Material and shall where possible ensure that its clients and customers do likewise. Licensee shall delete all electronic copies of Licensed Material from its electronic storage media, confirming the same to DryIcons in writing.
6.Warranty and Limitation of Liability
a.The Licensed Material provided under the terms of this License are owned by DryIcons. Licensee is urged to fully test the Licensed Material prior to distribution of any software in which it is to be used and to bring any difficulties encountered to the attention of DryIcons before such distribution. DRYICONS HEREBY DISCLAIMS ALL LIABILITY FOR INCIDENTAL, CONSEQUENTIAL AND SPECIAL DAMAGES ARISING OUT OF ANY DEFECTS IN MATERIALS AND WORKMANSHIP INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR USE.
b.Licensee shall defend, indemnify and hold DryIcons and its respective officers, directors and employees harmless from all damages, liabilities and expenses (including reasonable attorneys' fees and permitted and authorized costs), arising out of or as a result of claims by third parties relating to Licensee's use of any Licensed Material outside the scope of this Agreement and any other breach by Licensee of this Agreement.
c.These terms and conditions are all the terms and conditions that apply to this License. No other terms or prior understandings shall be used to alter the plain meaning of these terms or to expand the License unless subsequently agreed to in writing by the parties in amending this License.
